Document Overview

This document combines two essential legal frameworks into a single governing instrument:

• The Master Terms of Service — the contractual relationship between HNN and every visitor, viewer, and Channel Owner who uses the HNN Platform

• The Universal Disclaimer — the consolidated health, legal, financial, and operational disclaimers that govern all HNN content and all HNN services

Together, these frameworks govern your access to and use of the HNN Platform, including the website at healthnewsnetwork.us, the watch interface at watch.healthnewsnetwork.us, the HNN OTT applications across all distribution platforms, and any related services.

OPERATING ENTITY The HNN Platform is operated by Health News Network LLC, a Florida limited liability company. These Terms also extend protection to Lolli Brands Entertainment LLC, BioHack Yourself Media LLC, and the broader family of affiliated entities that produce media properties and productions in association with the foregoing. See Section 14.2 for the full definition of “HNN Parties.”

EFFECTIVE DATE These Terms of Service and Universal Disclaimer are effective May 2026. By accessing or using the HNN Platform after this date, you affirmatively agree to be bound by these terms.

PART ONE

MASTER TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

1.1 Binding Agreement

These Master Terms of Service and Universal Disclaimer (collectively, the “Terms”) constitute a binding legal agreement between you (“you,” “your,” or “User”) and Health News Network LLC, a Florida limited liability company (“HNN,” “we,” “us,” or “our”), governing your access to and use of the HNN Platform.

“HNN Platform” means, collectively:

• The website located at healthnewsnetwork.us and all associated subdomains, including watch.healthnewsnetwork.us

• The HNN OTT applications available on Roku, Apple TV, Fire TV, iOS, Android, and other connected device platforms

• Any web-based viewing experience operated by HNN

• All related services, content, communications, and features

1.2 Acceptance Through Use

You accept these Terms by any of the following actions:

• Completing the entry acceptance modal on the HNN website or HNN application by affirmatively checking the required acceptance boxes and clicking Enter HNN

• Creating an HNN account

• Downloading any HNN application

• Accessing or viewing any content on the HNN Platform

• Continuing to use the HNN Platform after these Terms have been updated and notice has been provided

If you do not agree to these Terms, you must not access or use the HNN Platform.

1.3 Updates to These Terms

HNN may update these Terms from time to time. When material updates occur, HNN will notify Users by means of the entry acceptance modal at the next visit, by email notification to registered Users, or by prominent notice on the HNN Platform. Continued use of the HNN Platform after the effective date of any update constitutes acceptance of the updated Terms.

2. DESCRIPTION OF THE PLATFORM

2.1 What HNN Is

HNN is a premium discovery ecosystem and brand-licensing platform that connects audiences with the world’s leading independent health experts. Through HNN’s invite-only ecosystem, qualified doctors, practitioners, researchers, and wellness leaders own and operate branded streaming channels across Roku, Apple TV, Fire TV, iOS, Android, and connected TV ecosystems.

HNN organizes its content and services around three pillars:

• Media — channels broadcast, audiences subscribe, premium distribution environment

• Education — expert knowledge made discoverable for audiences seeking real expertise

• Entertainment — long-form, episodic, premium-quality content

2.2 What HNN Is Not

HNN is not, and does not represent itself as, any of the following:

• A medical authority, healthcare provider, medical board, licensing body, or clinical service

• A certified, accredited, or credentialing medical organization

• A publisher with editorial control over Channel Owner content

• A vetting authority for the medical accuracy of any content

• A franchise system, investment opportunity, securities offering, or business opportunity

• A guarantor of monetization, audience size, revenue, growth, or any business outcome

• An anti-government, anti-FDA, anti-CDC, or anti-establishment network

• A factcheck authority or medical truth platform

• A provider of medical, legal, financial, or professional advice of any kind

2.3 Channel Owner Independence

Content on the HNN Platform is created, produced, published, and controlled by independent Channel Owners. Channel Owners are independent operators — not employees, agents, partners, franchisees, or representatives of HNN. The relationship between HNN and Channel Owners is governed by the Master Channel Owner Agreement, which is a separate contract not incorporated into these Terms.

3. AGE REQUIREMENT AND ELIGIBILITY

3.1 Age Eighteen or Older Required

The HNN Platform is intended exclusively for users who are eighteen (18) years of age or older. You represent and warrant that you are at least eighteen years of age. If you are not at least eighteen years of age, you must not access or use the HNN Platform.

3.2 Children’s Privacy

The HNN Platform is not directed to children under thirteen (13) years of age, and HNN does not knowingly collect personal information from any individual under eighteen (18) years of age. If HNN becomes aware that an individual under eighteen has provided personal information through the HNN Platform, HNN will take reasonable steps to delete the information.

3.3 Eligibility Generally

In addition to the age requirement, you may not use the HNN Platform if you:

• Are prohibited by law in your jurisdiction from accessing the type of content the HNN Platform makes available

• Have previously been suspended or removed from the HNN Platform

• Are using the Platform on behalf of a competitor to engage in benchmarking, reverse engineering, or competitive intelligence not authorized by HNN

4. THE PRIVATE DIGITAL ENVIRONMENT

4.1 Affirmative Acknowledgment of Private Environment

The HNN Platform is a private digital environment. Access requires you to affirmatively acknowledge each of the following during the entry acceptance process:

• That you are eighteen (18) years of age or older

• That HNN is a private digital environment intended for adult viewers who voluntarily enter for educational, informational, and entertainment purposes

• That HNN is a media, education, and entertainment network and does not provide medical, legal, or financial advice

• That channels on HNN are operated by independent Channel Owners who are solely responsible for their own content

• That you have reviewed and agree to these Terms and HNN’s associated policies

4.2 Effect of Affirmative Acknowledgment

By completing the entry acceptance process, you affirm that you have voluntarily entered HNN’s private digital environment with full awareness of its nature, its content, and its governing terms. Your entry is not casual browsing of a public website. It is a deliberate, affirmative act of entering a curated, premium environment for the purposes described.

HNN relies on your affirmative acknowledgment in providing access to the HNN Platform. Misrepresentation of your age, of your acknowledgment, or of any acceptance you make during entry may result in immediate termination of your access and may be referred to law enforcement where applicable.

4.3 Acceptance Record

HNN maintains an audit record of each User’s acceptance of these Terms, including the version of the documents accepted, the timestamp of acceptance, the device and approximate location of acceptance, and the affirmative confirmation of each required acknowledgment. This record is retained for the purposes of compliance, dispute resolution, and platform integrity.

5. INDEPENDENT CHANNEL OWNER ACKNOWLEDGMENT

5.1 Channel Owners Are Independent Operators

You acknowledge and agree that channels on the HNN Platform are operated by independent Channel Owners. Channel Owners are not employees, agents, partners, franchisees, joint venturers, or representatives of HNN. HNN provides infrastructure, branding, and distribution. Channel Owners provide and control all content.

5.2 HNN Does Not Endorse, Certify, or Verify Channel Owner Content

HNN does not endorse, verify, validate, certify, fact-check, or guarantee the accuracy of any statement made by any Channel Owner or any guest of any Channel Owner. The views, opinions, methods, treatments, recommendations, and statements expressed by Channel Owners and their guests are exclusively the views of those individuals and do not necessarily represent the views of HNN.

5.3 Channel Owner Responsibility

Channel Owners are solely responsible for the content of their channels and for compliance with all applicable laws and regulations, including but not limited to:

• Medical and healthcare laws and regulations applicable to their professional practice

• Advertising, sponsorship, endorsement, and disclosure regulations under FTC guidelines (16 CFR Part 255)

• Copyright, trademark, and intellectual property laws

• Privacy laws and regulations applicable to the data they collect

• Tax laws applicable to their independent business

• Securities, business, and commercial laws applicable to any products or services they offer

6. ACCOUNTS AND REGISTRATION

6.1 Account Creation

Certain features of the HNN Platform require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information

• Maintain and update your information to keep it accurate and complete

• Maintain the security of your account credentials

• Notify HNN promptly of any unauthorized access to or use of your account

• Accept responsibility for all activities that occur under your account

6.2 Account Security

You are responsible for safeguarding your account credentials. HNN cannot and will not be liable for any loss or damage arising from your failure to maintain account security.

6.3 Account Suspension and Termination

HNN may, in its sole discretion, suspend, restrict, or terminate any account that violates these Terms, that engages in prohibited conduct, that misrepresents identity or age, or that otherwise compromises the integrity of the HNN Platform.

7. PERMITTED USE AND PROHIBITED CONDUCT

7.1 Permitted Use

You may use the HNN Platform to access, view, and engage with content and features made available to you through the Platform, subject to these Terms and any additional terms applicable to specific features.

7.2 Prohibited Conduct

You agree not to:

• Use the Platform in violation of any applicable law or regulation

• Use the Platform to harass, threaten, defame, or otherwise harm any person

• Reproduce, distribute, copy, modify, publicly display, publicly perform, or create derivative works from any Platform content, except as expressly permitted by these Terms or by the applicable Channel Owner

• Bypass, attempt to bypass, or instruct others to bypass any access controls, including age verification or acceptance gates

• Use any automated means — including bots, scrapers, spiders, or other tools — to access, harvest, or extract content or data from the Platform without HNN’s prior written consent

• Interfere with, disrupt, or attempt to compromise the security or integrity of the Platform

• Engage in commercial activities on or through the Platform without HNN’s prior written consent

• Impersonate any person, entity, Channel Owner, or HNN team member

• Misrepresent your age, identity, or affiliation

• Upload, share, or distribute content through the Platform that infringes intellectual property rights, violates privacy rights, or contains malware

7.3 Reporting Violations

If you become aware of any conduct on the Platform that violates these Terms or applicable law, please report it to: info@hnn.media.

8. INTELLECTUAL PROPERTY

8.1 HNN Brand and Platform Intellectual Property

The HNN name, logo, trademarks, service marks, trade names, color schemes, brand elements, and the overall design, code, and functionality of the HNN Platform are the intellectual property of HNN and its licensors. Nothing in these Terms grants you any right or license to use HNN’s intellectual property except as expressly provided herein.

8.2 Channel Owner Content

Content created and published by Channel Owners on the HNN Platform remains the intellectual property of the respective Channel Owner. Channel Owners grant HNN limited operational licenses to host, distribute, and display their content within the HNN Platform pursuant to the Master Channel Owner Agreement.

8.3 Limited License to Users

HNN grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the HNN Platform for personal, non-commercial purposes consistent with these Terms. This license terminates automatically upon termination of your account or upon termination of these Terms.

8.4 Copyright and DMCA

HNN respects the intellectual property rights of others. If you believe content on the HNN Platform infringes your copyright, please review HNN’s DMCA Policy and submit a notice to: dmca@hnn.media.

9. SUBSCRIPTIONS, PAYMENTS, AND REFUNDS

9.1 Channel Owner Subscriptions

Channel Owners on the HNN Platform may offer subscriptions, memberships, individual content purchases, or other paid offerings directly to viewers. Each Channel Owner sets the price, terms, and conditions of their own subscription offerings.

9.2 Channel Owners as Merchants of Record

When you subscribe to a Channel Owner’s offering, you transact directly with the Channel Owner. The Channel Owner is the merchant of record for that transaction. HNN is not a party to the transaction between you and the Channel Owner.

9.3 Payment Processing

Payment processing for Channel Owner subscriptions is handled by third-party payment processors selected by each Channel Owner. Your payment information is provided to and managed by the applicable payment processor pursuant to its terms.

9.4 Refunds and Disputes

Refund requests and payment disputes related to a Channel Owner’s subscription should be directed to the applicable Channel Owner or to the applicable payment processor. HNN does not process refunds for Channel Owner subscriptions.

9.5 HNN Platform Fees

Access to the HNN Platform itself — including downloading the HNN application and creating an HNN account — is currently provided at no charge to viewers. Channel Owner-specific subscriptions are separate from HNN Platform access.

10. TERMINATION AND SUSPENSION

10.1 HNN’s Right to Terminate

HNN may, in its sole discretion and without notice or liability, suspend, restrict, or terminate your access to the HNN Platform or any part of it for any reason, including:

• Violation of these Terms

• Conduct that compromises the integrity, security, or reputation of the Platform

• Conduct that violates applicable law

• Misrepresentation of age, identity, or affiliation

• Failure to comply with any acceptable use requirements

10.2 Effect of Termination

Upon termination, your right to access and use the HNN Platform terminates immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous provisions — will survive.

10.3 Your Right to Terminate

You may terminate your account and your use of the HNN Platform at any time by ceasing use and, if applicable, by deleting your account through the account management functionality or by contacting info@hnn.media.

11. MODIFICATIONS TO THE PLATFORM AND TERMS

11.1 Platform Modifications

HNN may, at any time and in its sole discretion, modify, suspend, discontinue, or replace any feature, content, or aspect of the HNN Platform, either temporarily or permanently. HNN is not liable to you or any third party for any such modification, suspension, discontinuation, or replacement.

11.2 Terms Modifications

HNN may update these Terms at any time. The current version of these Terms will be available on the HNN Platform with the effective date noted on the cover. Material updates will be notified through the entry acceptance modal at next visit or through other reasonable means. Continued use after the effective date of any update constitutes acceptance of the updated Terms.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the HNN Platform are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles.

12.2 Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or to your use of the HNN Platform that cannot be resolved through good-faith negotiation between the parties shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

12.3 Arbitration Location and Procedure

Arbitration shall be conducted in Palm Beach County, Florida. The arbitrator shall be a neutral party with experience in commercial and media matters. The arbitrator’s decision shall be final and binding.

12.4 Limited Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of small claims court. Either party may also seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

12.5 Sixty-Day Notice and Good-Faith Negotiation

Before initiating arbitration, the party initiating the dispute shall provide the other party with sixty (60) days’ written notice of the dispute. The parties shall engage in good-faith negotiation to attempt resolution during this period.

13. CLASS ACTION AND JURY TRIAL WAIVER

13.1 Individual Disputes Only

You and HNN agree that any dispute resolution proceeding will be conducted only on an individual basis and not as part of any class, consolidated, or representative action. You waive any right to participate as a plaintiff or class member in any purported class or representative proceeding.

13.2 Jury Trial Waiver

To the maximum extent permitted by applicable law, you and HNN waive any right to a jury trial of any claim or cause of action arising out of or relating to these Terms or the HNN Platform.

ACKNOWLEDGMENT You acknowledge that you have read and understood the class action waiver and jury trial waiver provisions and that you accept them as a material condition of these Terms.

14. LIMITATION OF LIABILITY

14.1 Platform Provided As-Is

THE HNN PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. HNN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PLATFORM, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

14.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE HNN PARTIES (AS DEFINED BELOW) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL.

Definition of HNN Parties

“HNN Parties” means: Health News Network LLC; Lolli Brands Entertainment LLC; BioHack Yourself Media LLC; their respective parents, subsidiaries, and affiliates; any other entities under common ownership or control with the foregoing, including without limitation any documentary production LLCs, event production LLCs, consumer product LLCs, magazine LLCs, podcast LLCs, and any other operating entities affiliated with the foregoing or producing media properties or productions in association with the foregoing; and each of the foregoing’s respective parents, subsidiaries, affiliates, successors, assigns, officers, directors, members, managers, employees, contractors, agents, representatives, licensees, and licensors.

The Limitation of Liability provisions in this Section 14, the Indemnification provisions in Section 15, and the Third-Party Beneficiary provisions in Section 16.7 all apply to and protect each HNN Party identified or covered by this definition.

14.3 Aggregate Liability Cap

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE HNN PARTIES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00) OR THE TOTAL AMOUNT YOU HAVE PAID TO HNN DIRECTLY IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER.

14.4 No Liability for Channel Owner Content

WITHOUT LIMITATION, THE HNN PARTIES SHALL NOT BE LIABLE FOR ANY CLAIM, INJURY, LOSS, OR DAMAGE ARISING FROM OR RELATING TO CONTENT CREATED, PUBLISHED, OR DISTRIBUTED BY ANY INDEPENDENT CHANNEL OWNER. ALL CLAIMS RELATED TO CHANNEL OWNER CONTENT MUST BE DIRECTED TO THE APPLICABLE CHANNEL OWNER.

14.5 Provision Providing Greatest Protection Controls

In the event of any apparent conflict between or among any limitation of liability, disclaimer, or protective provision in these Terms, the Universal Disclaimer, or any other HNN-issued document, the provision providing HNN with the greatest protection shall control.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the HNN Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your access to or use of the HNN Platform

• Your violation of these Terms or any applicable law or regulation

• Your violation of the rights of any third party

• Any misrepresentation you make in connection with the entry acceptance process

• Any content, statement, or communication you make on or through the Platform

• Your interactions with Channel Owners or other Users

16. MISCELLANEOUS

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, DMCA Policy, and Accessibility Statement referenced herein, constitute the entire agreement between you and HNN concerning the HNN Platform and supersede all prior or contemporaneous communications and proposals.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be reformed to the extent necessary to make it enforceable while preserving its intent to the maximum extent possible.

16.3 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by HNN. No failure or delay by HNN in exercising any right shall operate as a waiver of that right.

16.4 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms. HNN may assign these Terms or any of its rights and obligations to any affiliate, successor, or acquirer.

16.5 Notices

Notices to HNN should be sent to legal@hnn.media. Notices to you will be sent to the email address associated with your account, or by prominent notice on the HNN Platform.

16.6 Force Majeure

HNN shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemics, regulatory action, infrastructure failures, or third-party platform actions.

16.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except that the HNN Parties (as defined in Section 14) are intended third-party beneficiaries of the limitation of liability, indemnification, dispute resolution, class action waiver, and jury trial waiver provisions of these Terms. Each HNN Party may enforce these provisions in its own name.

17. UNIVERSAL HNN DISCLAIMER

This is the master HNN disclaimer that governs all HNN content, all HNN services, and all HNN communications. It is incorporated by reference into every other HNN document and appears in the footer of every HNN public-facing surface.

Content on HNN is created and published by independent Channel Owners and is provided for informational, educational, and entertainment purposes only. 18.4 Individual Variability

Health information that may be appropriate for one individual may not be appropriate for another. Outcomes, results, and experiences described by Channel Owners or their guests reflect individual circumstances and should not be generalized as predictive of any other person’s outcomes.

18.5 Use of Specific Substances, Devices, or Modalities

Content on the HNN Platform may discuss substances, devices, modalities, supplements, treatments, or protocols. HNN does not endorse the use of any specific substance, device, modality, supplement, treatment, or protocol. Any decision to use any of the foregoing should be made only after consultation with a qualified healthcare professional with knowledge of your personal circumstances.
